Match the statutory form to the transaction

CSLB says an effective waiver and release must substantially follow the forms in Civil Code sections 8132, 8134, 8136 and 8138. The claimant must sign and deliver the document. Identify who is releasing rights, which payment it concerns and whether the project is at progress billing or final payment before circulating the paperwork.

Use conditional progress language while payment is pending

A Conditional Waiver and Release Upon Progress Payment is used to induce a progress payment before the claimant has received it. It becomes effective when the claimant is actually paid and does not cover every item. Keep the payment application and the applicable release together, and ask the project’s attorney to review exclusions or disputed wording.

Verify receipts before an unconditional release

An Unconditional Waiver and Release Upon Progress Payment states that the claimant received the progress payment. The unconditional final form likewise asserts receipt of final payment. Compare the document with the receipt record before signing; a planned payment and a received payment describe different facts.

Preserve evidence supporting a conditional final release

The conditional final form applies when final payment has not yet been received. CSLB says it binds with payment evidence such as an endorsed single or joint check paid by the bank, or the claimant’s written acknowledgment. Retain that evidence alongside the signed release instead of assuming the form alone establishes payment.

Follow releases through the subcontractor payment chain

CSLB advises collecting conditional releases before payment and unconditional releases after payment. It also discusses joint checks payable to a contractor and supplier or subcontractor. Payment to the direct contractor does not establish that every other claimant was paid. Organize each claimant’s paperwork separately and involve legal counsel when rights or release scope are uncertain.
